Terms of Our Services

Webfactorz is a digital services brand operated by SEA SAPPHIRE TRADING FZ-LLC in the United Arab Emirates, providing services globally. By using our services or entering into a contract with us, you agree to the terms and conditions set out in this document.

The following terms are used throughout this document:

• Webfactorz / Company: SEA SAPPHIRE TRADING FZ-LLC and its representatives.
• Client: The individual or entity requesting services.
• Services: All digital services provided by Webfactorz.
• Project: Any work agreed upon between the parties.
• Proposal: A document describing scope, cost, and timeline.
• Scope of Work: The tasks and deliverables defined in the proposal or contract.
• Change Request: Any request that falls outside the original scope of work.
• Third-Party Services: Services provided by external parties (hosting, payments, etc.).

Webfactorz services include but are not limited to:

• Website Development
• Website Rebuilds and Modernization
• E-Commerce Stores
• Custom Web Applications
• Search Engine Optimization (SEO / AEO / GEO)
• AI Solutions
• Payment & Shipping Gateway Integration
• Maintenance & Technical Support

No project execution begins until all of the following conditions are fully met:

• Written approval of the proposal by the Client.
• Receipt of the agreed-upon initial payment.
• Delivery of all required materials and information.

Initial consultations are complimentary and do not obligate either party.

• Default: 100% of the project value is due upfront unless otherwise agreed in writing.
• For staged payments, the schedule is defined in the proposal.
• Work on any phase does not begin until the corresponding payment is received.
• Invoices are due within 5 business days of issuance unless otherwise specified.
• Payments made for completed work or approved designs are non-refundable.

The Client agrees to the following to ensure smooth project delivery:

• Provide complete content (copy, images, logos) by agreed deadlines.
• Supply accurate and truthful information about the business and target audience.
• Respond to queries and approve project stages within a reasonable timeframe.
• Designate a single authorized point of contact for decision-making.
• Notify Webfactorz promptly of any changes to project requirements.

Project execution is limited strictly to what is explicitly defined in the approved proposal or signed contract. Any requirement beyond this scope is considered a Change Request and is subject to separate estimation and billing.

• Any request outside the original scope is a Change Request and priced separately.
• Change Requests must be submitted in writing and are not executed until approved and paid.
• The number of revision rounds per phase is defined in the proposal.
• Excessive revisions beyond the agreed limit may incur additional fees.

Timelines stated in proposals are estimates and depend on the timely provision of materials and feedback from the Client.

• Client delays in delivering materials or approvals automatically extend the deadline.
• Frequent scope changes may require a revised timeline agreement.
• Webfactorz is not responsible for delays caused by third-party dependencies.

Some solutions may rely on third-party services (hosting, payment gateways, libraries, APIs). Webfactorz is not responsible for:

• Pricing or policy changes by third-party service providers.
• Outages or disruptions to third-party services.
• Decisions or restrictions imposed by external platforms.

Webfactorz applies best practices for digital visibility optimization, with the explicit understanding that:

• No specific search ranking positions are guaranteed.
• No specific volume of traffic, leads, or sales is guaranteed.
• Search engine algorithms change continuously and are outside our control.
• SEO results are long-term and may take months to materialize.

• Usage rights for final deliverables transfer to the Client upon full payment.
• Webfactorz retains the right to use projects for portfolio and marketing unless restricted by NDA or White Label terms.
• Open-source libraries and tools remain subject to their original licenses.
• Client-provided content is the Client's sole responsibility; they warrant ownership of all rights.

Both parties agree to maintain the confidentiality of non-public information shared during and after the engagement, and not to disclose it to third parties without prior written consent.

All development projects include a complimentary 30-day support period from the official launch date, covering technical issues arising from the development work. This does not cover new features, content changes, or design modifications.

Ongoing maintenance services are independent of the original project and are available under a separate monthly or annual agreement to be established in writing.

Webfactorz reserves the right to showcase completed projects in its portfolio and marketing materials, unless explicitly restricted by a signed NDA or White Label agreement.

Partner programs (Referral, Affiliate, Agency, White Label) are governed by separate terms specific to each program. Joining any program constitutes acceptance of those additional terms.

To the maximum extent permitted by law, Webfactorz's liability is limited to the value of the disputed service and does not extend to indirect damages, loss of profit, or business losses arising from the use of or delay in services.

• Either party may terminate the engagement with prior written notice.
• Work completed and materials delivered up to the termination date are non-refundable.
• If terminated by the Client, payment is due for all work completed to date.
• If terminated by Webfactorz for legitimate cause, payments are refunded for uncompleted work.

Approvals, instructions, and correspondence via email and agreed official channels are considered legally binding and constitute valid written communication.

Webfactorz is not liable for any delay or failure in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, or major technical disruptions.

These terms are governed by the laws of the United Arab Emirates. Any dispute will first be pursued through amicable resolution; failing that, it will be referred to the competent courts in the UAE.

Webfactorz reserves the right to update these terms at any time. Existing clients will be notified of material changes. Continued use of services after updates are published constitutes acceptance of the revised terms.
